These Terms and Conditions of Use ("Terms") are entered into by and between you and Neurospicy OS ("Company," "we," or "us"). Neurospicy OS is operated by Blanco Travels LLC, an Indiana limited liability company.

These Terms, together with our Privacy Policy, Disclaimer, Refund Policy, and any other documents expressly incorporated by reference, govern your access to and use of the website neurospicyos.com, any subdomains, our mobile application, and the Relief Room community (collectively, the "Service"), whether as a guest, free user, or paid subscriber.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, customers, and subscribers.

By accessing or using the Service, you agree to be bound by these Terms, without modification, and acknowledge that you have read them. If you do not agree with any part of these Terms, you must not access or use the Service.

PRIVACY POLICY

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

REFUND POLICY

Your use of paid features of the Service is also governed by our Refund Policy, which is incorporated into these Terms by reference.

NO USE BY MINORS

You must be 18 years of age or older to access or use the Service, and you must have the legal capacity to enter into these Terms. Children under 18 are prohibited from using the Service.

LAWFUL PURPOSES

You may use the Service for lawful purposes only. You agree to be financially responsible for all purchases made by you or any person acting on your behalf through the Service.

You may not post or transmit through the Service any material that violates the rights of others, or that is threatening, abusive, defamatory, libelous, invasive of privacy or publicity rights, vulgar, obscene, profane, or otherwise objectionable. You may not post material that contains injurious instructions, that encourages criminal conduct, that gives rise to civil liability, or that otherwise violates any law.

You may not use the Service to harass, abuse, or harm another person, or to impersonate any person or entity.

ACCOUNT REGISTRATION

To use most features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information and to keep that information up to date.

You are responsible for safeguarding your password and any other credentials. You are responsible for all activity that occurs under your account. Notify us immediately at hello@neurospicyos.com if you believe your account has been compromised.

We may suspend or terminate your account at our discretion if you violate these Terms.

SUBSCRIPTIONS AND BILLING

The Service is offered as a paid subscription. By subscribing, you agree to the following:

Billing Terms

• Subscriptions are billed annually unless we explicitly offer a different billing frequency in writing.

• You authorize us, or our payment processor, to charge your payment method for the applicable subscription fee at the start of each billing period.

• Subscription fees are charged in advance and are non-refundable except as required by law or as specified in our Refund Policy.

• If your payment method fails, we may suspend or terminate your access until payment is successfully processed.

• You are responsible for keeping your payment information current.

Automatic Renewal

Subscriptions automatically renew at the end of each billing period at the then-current rate (subject to your founding rate, if applicable) until you cancel.

Cancellation

You may cancel your subscription at any time. Cancellation stops future billing. You will retain access to the Service until the end of your current billing period. No partial refunds will be issued for unused time.

Price Changes

We may change the price of the Service at any time. Price changes for existing subscribers will take effect at the start of the next billing period after at least 30 days' notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new price.

FOUNDING MEMBER PRICING

We may, from time to time, offer founding member pricing or other promotional rates to early subscribers ("Founding Rate"). The following terms apply to any Founding Rate offer:

• Locked Rate. Your Founding Rate remains in effect for as long as your subscription is continuously active and in good standing.

• Cancellation. If you cancel your subscription, your Founding Rate ends. If you later resubscribe, you will pay the then-current standard rate. We do not guarantee that your Founding Rate will be available to you again.

• Failed Payments. If your payment method fails and your subscription lapses, your Founding Rate may end. You should keep your payment information current to preserve your rate.

• Product Changes. We may add, remove, or change features of the Service over time. We will use reasonable efforts to maintain the core value of the Service. If we make a material adverse change to the Service, you may cancel and stop future billing, but you are not entitled to a refund except as required by law or under our Refund Policy.

• Discontinuation. If we discontinue the Service or a Founding Rate program, we will provide reasonable notice. Founding members will not be entitled to compensation beyond a prorated refund of the most recent payment, if any, as required by law or as specified in our Refund Policy.

The Founding Rate is a promotional price and is not a perpetual or lifetime guarantee. It is a benefit conditioned on continuous subscription.

THE RELIEF ROOM COMMUNITY

The Relief Room is a private online community for subscribers, hosted on the third-party platform Skool. By joining the Relief Room, you agree to the following:

Community Guidelines

You agree to follow the community guidelines published in the Relief Room. The guidelines may include rules about respectful interaction, privacy, content restrictions, and prohibited conduct.

We reserve the right to:

• Remove any post, comment, or content at our sole discretion

• Suspend or remove any member who violates the community guidelines

• Report unlawful activity to law enforcement

Not a Confidential Space

The Relief Room is not confidential. Anything you post may be seen by other members, by community moderators, and by Company staff. Do not post information you do not want others to read.

Not a Crisis Service

The Relief Room is not a crisis line, therapy group, or emergency service. If you or someone else is in danger, contact emergency services. In the United States, call or text 988 for the Suicide and Crisis Lifeline, or text HOME to 741741 for the Crisis Text Line.

Mandatory Reporting

Some of our consultants and clinical reviewers are licensed mental health professionals subject to mandatory reporting laws. Disclosures of imminent harm to self or others, suspected abuse of a child or vulnerable adult, or similar information may result in a report to authorities as required by law.

Member Conduct

You are responsible for your interactions with other members. The Company is not responsible for the conduct of community members. We do not endorse or verify the advice, opinions, or experiences shared by members. Information shared by other members is not professional advice.

Skool Terms

Use of the Relief Room is also subject to Skool's terms of service and privacy policy, which are available on Skool's website. We do not control Skool's platform.

USE OF AI FEATURES

The Service uses artificial intelligence ("AI") to organize your input and surface suggestions. By using AI features, you acknowledge:

• The AI is not a human, a clinician, a coach, or a professional advisor.

• AI outputs are suggestions, not advice or recommendations. The AI can be wrong.

• You are responsible for evaluating any AI-generated output before acting on it.

• The Company is not liable for any decision you make, or any outcome you experience, based on AI-generated content.

• Your inputs (text or voice) may be processed by third-party AI providers. See the Privacy Policy for details on data handling.

• AI features are not medical advice, diagnosis, or treatment. Consult a qualified professional for medical, mental health, legal, financial, or other professional questions.

FREE DOWNLOADABLE CONTENT

We may make resources available on the Service in exchange for providing an email address ("Gated Content"). We grant you a limited, personal, non-exclusive, non-transferable license to use the Gated Content for your own personal use.

You acknowledge that you have no right to modify, edit, copy, reproduce, create derivative works of, reverse engineer, or otherwise exploit Gated Content. You may not sell, redistribute, or use Gated Content to create competing products or services.

MATERIAL YOU SUBMIT TO THE SERVICE

By posting, uploading, submitting, inputting, or otherwise making available any text, photos, voice recordings, journal entries, brain dumps, feedback, suggestions, community posts, or other media (collectively, "Submissions"), you grant the Company a worldwide, non-exclusive, royalty-free, irrevocable license to use your Submissions to operate, deliver, and improve the Service.

We claim no intellectual property rights over your Submissions, and you retain all rights you have in your Submissions.

You may not submit content that you do not own or have permission to share, or that infringes any third party's copyright, trademark, or other rights.

You represent and warrant that you have the right to make any Submission you upload, and that the Submission does not violate any law or third-party rights. You agree to indemnify the Company against any claim arising from your Submissions.

We are not obligated to use or retain any Submission and may remove any Submission at our discretion.

If you provide us with feedback, ideas, or suggestions, you agree that we may use that feedback without compensation or attribution.

OUR INTELLECTUAL PROPERTY

The Service contains intellectual property owned by the Company, including trademarks, copyrights, software, designs, text, graphics, and other content (collectively, "Company IP"). We reserve all rights in our Company IP.

You may not modify, publish, transmit, transfer, sell, create derivative works from, distribute, display, reproduce, or otherwise exploit any Company IP without our prior written consent. You may not use any Company IP for any commercial purpose without permission.

We grant you a non-exclusive, non-transferable, revocable license to access and use the Service for your personal use, strictly in accordance with these Terms.

You may not:

• Use the Service in any way that could damage, disable, overburden, or impair it

• Interfere with any other user's use of the Service

• Reverse engineer, decompile, or attempt to extract source code from the Service

• Use automated tools (bots, scrapers, etc.) to access the Service without permission

• Resell, sublicense, or transfer your access to the Service

Our name, logo, and all related branding are trademarks of the Company. You may not use them without prior written permission.

We may immediately terminate your access to the Service, without refund, if you violate this intellectual property policy.

CHANGED TERMS

We may amend these Terms, including the Privacy Policy, Disclaimer, and Refund Policy, at any time. The "Last Updated" date at the top of this page will be updated.

Changes take effect immediately upon posting. For material changes, we will provide reasonable notice through the Service or by email. Your continued use of the Service after a change takes effect constitutes your acceptance of the updated Terms.

NO WARRANTIES

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of non-infringement, merchantability, fitness for a particular purpose, accuracy, reliability, or availability.

We make every reasonable effort to ensure the Service is free from errors, but we do not warrant that the Service will be uninterrupted, error-free, secure, or free from harmful components.

We do not warrant that the Service will produce any particular result, including but not limited to relief, improved mental health, productivity gains, behavioral change, or any other outcome.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, the Company will not be liable for any direct, indirect, incidental, consequential, special, punitive, exemplary, or other damages arising out of your use of the Service, including but not limited to:

• Loss of revenue, profits, business, savings, goodwill, or data

• Failure of performance, error, omission, denial of service, attack, interruption, deletion, defect, delay, computer virus, or system failure

• Unauthorized access to, alteration of, or use of your information, regardless of our negligence

• Reliance on AI-generated content or community posts

• Outcomes or non-outcomes related to your mental health, physical health, productivity, relationships, or any other aspect of your life

This limitation applies regardless of the legal theory of liability and even if we have been advised of the possibility of damages.

In jurisdictions that do not allow exclusion or limitation of liability, our liability is limited to the fullest extent permitted by law. In no event will our total liability to you exceed the total amount you have paid to us in the twelve months preceding the claim.

NO GUARANTEE OF AVAILABILITY

Your use of the Service may sometimes be subject to interruption or delay. We reserve the right to withdraw, suspend, or modify the Service at our sole discretion without notice. We will not be liable if the Service becomes unavailable, interrupted, or delayed for any reason.

We may restrict access to some parts of the Service, or to the entire Service, at our discretion.

Information provided on the Service is subject to change. We make no representation that information is accurate, complete, reliable, current, or error-free. We disclaim all liability for inaccuracy, error, or incompleteness.

MALICIOUS CODE

Although we work to prevent the introduction of viruses or other malicious code, we do not guarantee that the Service is free of malicious code. We are not liable for damages caused by malicious code. You are responsible for protecting your devices.

SECURITY

The security of your information is important to us. However, you acknowledge the risk of unauthorized access to or alteration of your data. We are not liable for losses resulting from unauthorized access or alteration. All information you transmit to or from the Service is transmitted at your own risk.

THIRD-PARTY RESOURCES

The Service may contain links to external websites we do not control. We are not responsible for the availability, accuracy, or content of any external site, and a link is not an endorsement. Your use of any external site is at your own risk.

We may also feature content from third-party guests, in writing, audio, video, or other formats. We do not control such content, are not responsible for verifying its accuracy, and do not guarantee any statements made by guests.

INDEMNIFICATION

You agree to indemnify and hold the Company harmless from any losses, damages, settlements, liabilities, costs, charges, and expenses (including reasonable attorney's fees) arising from:

• Your breach of these Terms

• Your use of the Service

• Your Submissions

• Your violation of any law or third-party right

• Your failure to maintain the confidentiality of your account credentials

You will assist us, without charge, in defending any claim covered by this section.

EFFECT OF HEADINGS; SEVERABILITY

The headings in these Terms are for convenience only and do not affect interpretation. If any portion of these Terms is unenforceable, the remainder will continue in full force and effect.

ENTIRE AGREEMENT; WAIVER

These Terms, together with the Privacy Policy, Disclaimer, and Refund Policy, constitute the entire agreement between you and the Company regarding the Service. Any waiver by us of a breach or right does not constitute a waiver of any other breach or right. No waiver is binding unless in writing.

GOVERNING LAW; JURISDICTION

These Terms are governed by the laws of the State of Indiana, without regard to conflict of law principles. Any dispute arising under these Terms must be filed exclusively in the courts located in Vigo County, Indiana, and you submit to the jurisdiction of those courts and waive any objection based on inconvenient forum.

ALTERNATIVE DISPUTE RESOLUTION

The parties agree to attempt in good faith to resolve any dispute arising out of these Terms by mediation before pursuing litigation or other legal remedies. Good faith participation in mediation is a condition precedent to other dispute resolution procedures.

ALL RIGHTS RESERVED

All rights not expressly granted in these Terms are reserved by the Company.
